Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Unifyr platform and services operated by Unifyr, Inc. (“Unifyr,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms.


1Acceptance of Terms

By creating an account, accessing, or using the Unifyr platform (“Services”), you (“User” or “Customer”) acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not access the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2Description of Service

Unifyr is an AI-powered healthcare operations platform that connects home care agencies’ workforce management systems through natural language interfaces. The Services include, but are not limited to:

  • AI-assisted scheduling and workforce management
  • Integration with third-party healthcare software (EVV systems, EHR/EMR platforms, HR tools)
  • Conversational AI interface for operational queries and task automation
  • Reporting, analytics, and data synchronization across connected systems

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3Account Registration

To use the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

Unifyr uses Clerk for identity management. Your authentication is subject to Clerk’s terms and privacy policy in addition to ours.

Each organization (“tenant”) on Unifyr is isolated. Administrators are responsible for managing members, permissions, and integrations within their organization.

4Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable federal, state, or local laws or regulations
  • Transmit any data that infringes intellectual property rights or contains malicious code
  • Attempt to gain unauthorized access to any part of the Services or its infrastructure
  • Use automated means to scrape, crawl, or extract data from the Services
  • Reverse engineer, decompile, or attempt to derive the source code of the Services
  • Resell or sublicense access to the Services without written permission
  • Use the Services to store or transmit data in violation of HIPAA or other applicable healthcare regulations

5Healthcare Data & HIPAA

Important Notice: If your use of Unifyr involves the storage, transmission, or processing of Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act (“HIPAA”), you must execute a separate Business Associate Agreement (“BAA”) with Unifyr prior to transmitting any PHI through the Services.

You are solely responsible for ensuring your use of the Services complies with HIPAA, the HITECH Act, and any other applicable healthcare data regulations. Unifyr provides tools to assist with compliance but does not guarantee compliance on your behalf.

You represent and warrant that you have obtained all necessary consents and authorizations required to process any patient or employee data through the Services, and that your use of third-party integrations (EVV, EHR/EMR) complies with those providers’ terms and applicable law.

6Intellectual Property

The Services, including all software, AI models, interfaces, content, and documentation, are the exclusive property of Unifyr, Inc. and are protected by applicable intellectual property laws.

You retain ownership of all data you input into or generate through the Services (“Customer Data”). By using the Services, you grant Unifyr a limited, non-exclusive license to process Customer Data solely to provide and improve the Services.

Unifyr may use aggregated, de-identified data derived from Customer Data to improve its AI models and Services, provided such data cannot be used to identify you or your customers.

7Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Unifyr does not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated responses are provided for informational and operational assistance purposes only and do not constitute medical, legal, or financial advice. You are responsible for validating all AI outputs before acting on them.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIFYR, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL UNIFYR’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UNIFYR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

9Termination

Either party may terminate these Terms at any time. Unifyr may suspend or terminate your access to the Services immediately, without prior notice, if:

  • You breach any provision of these Terms
  • We are required to do so by law or court order
  • We believe your use poses a security risk to the Services or other users

Upon termination, your right to access the Services ceases immediately. We will provide you with a reasonable opportunity to export your Customer Data within 30 days of termination, unless prohibited by law.

10Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
